Neither Party may assign this Agreement, in whole or in part, without the other Party's prior written consent, except to (i) any corporation resulting from any merger, consolidation or other reorganization involving the assigning Party, and (ii) any entity to which the assigning Party may transfer all or substantially all of its assets; provided that the assignee agrees in writing to be bound by all the terms and conditions of this Agreement and provides documentation as evidence that the assignee has the ability and capability of meeting all of the obligations under this Agreement.

在未获得合同相对人事前书面许可情况下，不得对合同进行全部或者部分的转让。但若涉及转让方的（1）因兼并、合并或者重组产生的新的法人和（2）将其全部或者绝大部分财产转让的受转让方，其转让行为有效。但受让方需以书面形式同意本条约项下所有条款以及条件的约束，并提供文件证明受让方有能力履行条约项下规定的义务。
