2. Should the SELLER fail to make such repayment, we shall payyou the amount the SELLER ought to pay within …………………(…………………)business days after our receipt of the relevant demand forrepayment. Such demand (“an authenticated demand”) may be made byyou in writing by any one or more of the following means:

1)  the contract has beencancelled and/or rescinded by the buyer in accordance with thecontract, and

2) the amount so demanded is due and payable bythe seller in accordance with the terms of the contract,and

3)  the seller has failed tocomply with its obligation to repay the amount claimedhereunder

 

你方书面要求应包括你方确认的如下事宜：

1）买方按照合同要求已经取消或者废除合同

2）根据合同条款，卖方应该的被要求偿付的金额

3). 卖方没有按照其义务偿付上述款项

 

3. However, in the event of our receipt, before your demand orwithin …………………business days after such demand has been received byus, of a written notice made by the SELLER stating that there is adispute between you and the SELLER in relation to

 

(i) whether the SELLER shall be liable to repay the instalmentpaid by you, and

 

(ii) consequently whether you shall have the right to demandpayment from us, and

 

(iii)such dispute has been submitted for arbitrition,(togetherwith a copy of the notice commencing arbitration)

 

 

3．但是如果我们在收到你方要求之前或者在收到你方要求的…………………个工作日之内，卖方书面指出你们双方就下列问题有分歧。

 

（i）卖方是否有责任退还你方支付的各分期付款,以及

 

 

（ii）你方最终是否有权要求我们付款,

then we shall be entitled to withhold and defer payment for aperiod until the final arbitration award is published. We shall notbe obligated to make any payment to you unless such arbitrationaward orders the SELLER to make repayment. If the SELLER fails tohonour the award, then we shall make payment to you to the extentthe arbitration award orders but not exceeding the aggregate amountof this guarantee plus the interest described above within…………………(…………………) business days

 

我方有权拒绝和延迟付款直至买卖双方之间的仲裁裁决公布。且只有在仲裁裁决要求卖方退款时,我们才有义务付款。如果卖方不服从判决，我们将在…………………日内付清裁决范围内规定的金额,总金额不超过担保总金额加上述利息。

 

 

4. The said repayment shall be made by us in United StatesDollars by telegraphic transfer to the account specified in thenotice of demand.

5. Our liability under this letter of guarantee shall be reducedautomatically in accordance with the repayment made by the SELLERor by ourselves.

6. This Letter of Guarantee shall become effective from the timeof the actual receipt of the …………………instalment by the SELLER at itsAccount No. ………………with us, and the amounts effective under thisLetter of Guarantee shall correspond to the total payment actuallymade by you from time to time being the …………………instalment under theContract prior to the delivery of the VESSEL. 6.此保函从卖方在我方帐户（帐户号…………………）实际收到第…………………期船款开始生效。在此保函下有效金额数为你方在接收船舶前的第…………………期付款总额。但是，在此保函下的可用数额绝不能超过上述卖方实际收到数额，不包括利息。或者视具体情况，包括从卖方实际收到第…………………期付款开始到退款日为止…………………%的年利率.

 

 

 

7. This Letter of Guarantee shall remain in force until theVESSEL has been delivered to and accepted by you or full refund hasbeen made by the SELLER or ourselves or until …………………(being…………………(…………………) days after the Delivery Date as defined in ArticleVII of the Contract), whichever occurs earliest. However, in theevent that:

 

7．本保函有效期致船舶交船和被你方接受，或者卖方或者我方退款，或者…………………年…………………月…………………日（超过合同第七章指明的交船日…………………天）为止。以上三个条件以发生最早的为准。但是，在下列情况下：

 

7.1. Construction of the VESSEL is continuing but has not beencompleted on the Contract Delivery Date, this guarantee shall beautomatically extended to expire on …………………(being …………………(…………………)days after the Delivery Date as defined in Article VII of theContract), or if it occurs earlier, on delivery of the VESSEL toyou as provided in the Contract; or

 

7.1船舶的建造在合同指明的交船期没有完成且还在继续，此保函应被自动延期至…………………（合同第七章指明的交船日后…………………天），或者，如果卖方早于合同交船日交船，保函有效期与当日止。

 

7.2. There exists arbitration between you and the SELLER for anysuch matter as described above, then the validity of this guaranteeshall be automatically extended until the date falling on the…………………(…………………) calendar day after the final arbitration award ispublished.

 

7.2若卖方与你方之间就上述事由发生仲裁，此保函的有效期自动延伸到最终仲裁结果公布后的…………………日。超过此期限保函无效。

 

8. All payments by us under this Letter of Guarantee shall bemade without any set-off or counterclaim and without deduction orwithholding for or on account of any taxes, duties, or chargeswhatsoever unless we are compelled by law to deduct or withhold thesame.

 

除非法律要求，本保函下由我方支付的所有款项,不得抵消,反诉和因任何税,关税和收费被减少或扣留, ,

 

In the latter event we shall make the minimum deduction orwithholding permitted and will pay such additional amounts as maybe necessary in order that the net amount received by you aftersuch deductions or withholdings shall equal the amount which wouldhave been received had no such deduction or withholding beenrequired to be made.

 

如属后者,我们将在许可范围内尽量减少或少留,并且,如有必要,支付额外金额以使你方净收入在减少扣留后仍等于未经减少或者扣留的应付金额.

 

This Letter of Guarantee maybe assigned to an asignee for thepurpose of security for the financing of the construction of thevessel or other reasonable purpose. Such an assignment has to benotified to us in writing and subject to the prior approval byCMB，such approval not to be reasonably withheld.

 

为了船舶建造的融资抵押或其他合理的原因，在此保函能够被转让。此转让必须提前书面通知招行并且得到我行核准。此核准不会被无理扣压。

 

Such an assignment has to be notified to us in writing.

 

此转让必须书面告知我行。

 

9. This Letter of Guarantee is governed by the Laws ofEngland.

 

We hereby confirm that this guarantee will be registered withthe relevant SAFE authority and we also confirm that we are dulyauthorised to issue this guarantee and effect payment hereunder(under the approval of SAFE) in currency named above.

 

9. 本保函按英国法律解释,

 

我方在此申明此保函在相关的国家外汇管理局注册并且我们已经被国家外汇管理局批准签发保函和依上述提及货币的形式付款
