法律法规与规范性文件英文数据库，是法治建设的基础设施，也是彰显对外开放的重要窗口，值得用心建设。
立法拒绝辞采华章。语言素净，语义明晰，效果确定，即为良法。经由精准翻译，良法为人所知，并获一体遵循，方可稳预期、利长远、固根本。
翻译是二次创作。除了懂法律、懂外语、熟悉业务外，还要有一点强迫症，在质疑与挑剔中，倾力付出，才能日臻完美。
《上海市优化营商环境条例》的英译，先后在“上海发布”、《上海日报》刊出（链接附后），希望起草之中的“外商投资条例”等也能完成英译，逐渐形成上海的相关数据库。

本文将专有术语摘录附后，并复盘翻译的若干考量，希望有益于译事的初学者。
感恩正心诚意，努力付出的日子。
精准的翻译，是应对世行评估的基础
风起于青萍之末。
意识到翻译为我国迎接世行评估的短板，还是2018年1月16日的一场工作会议。
那场会议，稀松平常，却开启了迎接世行评估的纷忙岁月。
从那时开始，我们不断发现，世行问卷中译本、我国改革措施英译本、世行谈判法律英译本中，错译、误译、漏译比比皆是。
所幸从那时开始，我们不断纠正偏误，我国得分与排名，未受此影响，开始节节攀升。
翻译错误，数不胜数，大致可归为以下四类：
其一，内涵不当限缩。世行问卷中的“regulation”被译为“法律”。事实上，在问卷语境下，“regulation”是指所有对商事活动具有规范效力的规则，包括全国人大颁布的法律、国务院行政法规，各部门规章，也包括彼时指标城市北京和上海颁布的地方性法规和政府规章，以及前述各政府和部门颁布的规范性文件，还包括上海交易所的上市规则，以及最高法院的司法解释……总之，“regulation”一词，涵摄了一切具有规范意义的内容，宜译为“规则”。将其译为“法律”，不仅字义不通，而且遗漏了大量足以支撑得分的法律渊源。
其二，词意指向错误。世行问卷多次出现的“private limited company”，被译为“私人有限公司”。这实在是“硬译”的典型错误。在世行问卷的解释说明中，“limited company”被界定为“一家有限责任公司或者具有同等职能的公司”（即一种不同的、更简化的、且不能向公众发行股份的公司）。在我国的公司法语境下，必须将“private limited company”译为“有限责任公司及非上市股份有限公司”。发生这种错误，唯一的解释是，译者只懂外语不懂法律，特别是不懂公司法。
其三，语法理解失当。世行问卷中，有一道题“Are changes to the rights of shares only possible if the holders of affected shares approve？”被错译成“更改股票所附的股权时，是否只需要征得权利受到影响的股东同意”？事实上，原文是关于类别股股权变更必要条件的表述，正确译法为“股权内容的变更，是否只有在征得权利受到影响的股东同意后才能发生”？此种误译，可归咎于译者基本功不到位。
其四，译者功力不逮。这是最难发现的。2019年6月25日，世行总部华盛顿“获得信贷”指标磋商。双方聚焦于一个法律问题：能否对担保物（例如，应收账款）进行笼统描述？如果可以，则得分。世行专家认为，不可以，因为根据我国《物权法》第210条的规定，设立质权，当事人应当采取书面形式订立质权合同。质权合同一般包括下列条款：质押财产的名称、数量、质量、状况……熟悉法理的人不难判断，此条并非强制性规范，只是示范性规则，并不意味着缺失其中的任一要素，会导致质权合同无效。我国合同法第12条也采取同样的立法例。《应收账款质押登记办法（2017修订）》也允许用现有和未来的金钱债权作为抵押。没有想到，在交流的过程中，我们发现，国家某部门向世行专家提供的法条英译，把“一般包括”翻译成“shall include”（应当译为generally includes），从而将中文的示范性规则，翻译为强制性表述，给说理带来了很大难度。
往事如烟，过去的两年多时间里，这些讹误，被一一纠正。
《上海市优化营商环境条例》翻译的若干准则
基于过往的经验与教训，我们在翻译这部条例时，确立了以下原则：
第一，对标国际标准，遵循国际惯例。法律外译本，用户是外国人，必须本着他们的阅读习惯来翻译。例如，“营商”一词，国家与北京的译本，均为单字“Business”，但世行历年营商环境评估报告，均为“Doing Business”，简称为“DB”，故我们选择了这一表述。再如，“中小投资者”，世行表述为“Minority Investors”，我们果断放弃了“Medium and Small-sized Investors”的表述。另外，中文多次出现“流程、环节、程序”等字眼，统一为世行评估所用的“procedure”。“兜底条款”一词，从初译的“bottom-line clauses”，改为“miscellaneous provisions”更符合国际惯例。又如，第4条有“政府主要负责人”一词，在初译公布后，有部门建议，直接翻译成市长和区长，我们觉得不妥，因为有时候会出现代市长或者代区长，甚至常务副市长、常务副区长主持工作的情况，而且政府还包括镇一级的政府，故保持译为“The main person in charge of the government”，国外也有此种译法。
第二，适度增减字段，优化语意理解。例如，第1条 “……根据《优化营商环境条例》等法律、行政法规……”经再三斟酌，译为“根据国务院《优化营商环境条例》等法律、行政法规……”（in accordance with the Regulations on Optimizing Doing Business Environment issued by the State Council and other laws and administrative regulations.”如果不加“国务院”这个字段以示区别，外国市场主体估计弄不明白，怎么会根据同名的条例来制定条例？再如，第40条 货物口岸监管，从字面来看，有两种意思：其一，监管口岸的货物；其二，既监管口岸的货物，又监管口岸（例如，人员及设施）本身。后与相关部门沟通，确认是前者，故缩减了字义，译为Cargo Supervision。还有，第5条“充分运用国家政策资源……”，原来直译为“fully utilize national policy resources”，后觉得“资源”一词无须译出，故删除了“resources”。
第三，清晰表述改革，尊重读者体验。这部条例充满了改革气息，有很多新的词汇，例如，一网通办、一网通、单一窗口、证照分离、一业一证、网格管理、双随机一公开、告知承诺……要逐一译成明白晓畅的英语，委实并不容易。在翻译时，我们力求语意明晰，使读者无须借助其他材料，也能明白其意。例如，第1条有“放管服”的表述，法条用的是简称，而这项改革的全称是“简政放权，放管结合，优化服务”。2017年政府工作报告中，对“放”一字的翻译是“delegating powers”，意思是权力下放。我们觉得，似乎用decentralize比较好，于是将“放管服”三字译成“streamlining administration and decentralizing powers, combining decentralization with appropriate control, and optimizing services”。例如，“简易注销”，国家采取直译方式，译为simplified deregistration，外国人不好理解，我们保持意译，expedited deregistration，即快速注销，既体现营商环境改革精神，也便于理解。
凡此种种，不一而足。附专业词汇对照表，供需者参考！
