The 'Actual Completion Date for Erection' shall be followed by Commissioning of the Plant, which means all the tests and adjustments, which can be carried out without actual production of the Plant. This includes thorough cleaning and mechanical, electrical and instrument operating tests as well as water runs and running of the Plant with the actual production materials.

“实际安装竣工日”之后即为工厂设备的试运行，即管道无需实际生产而进行的所有检测和调试工作。这包括彻底的清洁和机械、电气和仪表的运行测试，以及试供水和用实际生产原料进行的工厂设备试运行。

'Construction Manager's Instruction (CMI)' Shall mean a written instruction from the Customer to the Contractor requiring the Contractor to carry out the Work specified therein.

2. COOPERATION OF CONTRACT, SPECIFICATIONS AND DRAWINGS

2. 合同、规范和图纸的关系

The documents constituting this Contract including the Specifications and the drawings included herein shall be considered as complementary, and materials and work called for by one or more and not mentioned by the others are to be furnished and done in as faithful and efficient a manner as if fully dealt with in all.

组成本合同的文件（包括本合同包含的规范和图纸）应被视为补充性的；由一个或多个文件所要求但其它文件未要求的材料和工作应被视为所有文件的要求，并应被尽职高效地提供和完成。

3. CONTRACTOR’S FAMILIARITY WITH CONDITIONS OF CONTRACT

3. 承包商对合同条款的熟悉程度

3.1 The Contractor declares that he has full knowledge of the Terms and Conditions of this Contract, and has fully informed himself as to conditions, local and otherwise, affecting the carrying out of this Contract.

3.1 承包商声明其完全了解本合同的条款和条件，并已充分地熟悉了影响合同履行的、当地或其他地方的条件。

5. SCOPE OF WORK 5. 工作范围

The Erection to be carried out by the Contractor shall be all as defined in this Contract. The Contractor shall provide and supply and do anything that, in the opinion of Customer, may be required for the execution of the Erection whether the same may or may not be shown on the Contract and / or drawings or particularly described in the Specifications provided the same is to be inferred therefrom.

承包商所从事的安装应完全按照本合同的规定执行。承包商应提供、供应和实施任何业主认为执行安装需要的物品和工作，无论其是否在合同和/或图纸上表明或明确地在规范中描述，但应从合同、图纸或规范中可以推断出来。

6. EXAMINATION OF MILL SITE AND MILL

6. 对工厂现场和工厂的检查

6.1 The Contractor declares that he has carefully examined the Mill, the Mill Site and surrounding areas of the Mill with services and facilities and is fully aware of relevant site conditions affecting the execution of the Erection. The Contract Price has included all the costs and expenses that may be incurred by the Contractor.

6.1 承包商声明其已仔细检查过工厂、工厂现场和有关服务与设施的工厂邻近地区，并且他已完全知晓了有关影响安装执行的场地条件，合同价格已涵盖了承包商所有可能的成本和费用的支出。

9. AMOUNT OF ERECTION WORK

9. 安装工程的数量

The Customer does not, expressly or by implication, guarantee that the actual amounts of the Erection Work or material of any class will correspond to the Specifica-tions and drawings herewith. The Customer reserves the right to increase or decrease the amounts of any class or portion of the Erection Work as may in his opinion be necessary. The Contractor shall make no claim for anticipated profits, for loss of profits, for damages or otherwise, because of any difference between the amounts of Erection Work actually done or materials furnished and the estimated amount as set forth in this Contract. The Contractor shall bear any costs in relationto providing extra Erection Work or material, and no claim can be made against the Contractor for the extra costs.

业主（明示或暗示地）不保证安装工作或任何一类材料的实际数量将与本合同所附的规范和图纸一致。业主保留在其认为必要时增加或减少任何一类或一部分安装工程的数量的权利。承包商不得因实际完成的安装工作或提供的材料的数量与按本合同规定预计的数量之间存在任何差异而就预期利润、利润损失、遭受的损害或其它事项提出任何索赔。承包商应承担任何与该等额外安装工程或材料有关的任何费用，不得向业主主张该等额外费用。

11 TENDER DRAWINGS 11. 招标图纸

The Contractor agrees with the Customer that the drawings included herein and upon which tenders and lump sum prices are based are in sufficient detail to indicate the class, complexity and the amount of the work but shall not be accepted by the Contractor as final drawings of the Erection Work to be carried out.

承包商与业主一致同意本合同中所附的、且作为投标和总价基础的图纸已足够详细地表明了工作的类别、复杂程度和工作量，但承包商不能把它视为将要执行的安装工作的最终图纸。

14. CONTRACTOR'S EQUIPMENT 14. 承包商的设备

The Contractor shall supply and provide all equipment required during the performance of the Contract and in connection with Extra Work as set forth herein. Such equipment and the Contractor's work methods and organisation for handling the Erection Work shall be such as to secure a satisfactory quality of the Erection Work and a rate of progress which in the opinion of

Customer will ensure the completion of the various items of Erection Work in accordance with the time schedule.

承包商供应和提供履行合同期间所需的以及与本合同规定额外工作相关的所有设备。该设备以及承包商的工作方法和管理安装工作的组织机构应能保证安装工作达到令人满意的质量，并以业主认为可以确保安装工作的各个项目按照时间进度表完工的进度速率实施。

30. MATERIALS AND WORKMANSHIP TO BE OF BEST QUALITY

30. 材料和工艺应达到最优质量

The Erection Work shall be done in a workmanlike manner with materials and workmanship of the best quality and in strict conformity with the provisions of this Contract and good Engineering practice, including conformance to local statutory regulations / act. All materials shall be new, comply with Customer requirements and standards and purchased from vendors acceptable to the Customer.

安装工作应采用最优品质的材料和工艺以精良的技术完成，并严格遵照本合同的条款和优秀的工程设计操作执行，包括遵守当地的法定规章/法案。所有的材料应是全新的，符合业主要求和标准的，并且是从业主认可的供应商处购买的。

31. ERECTION INSPECTION

31. 安装检查

31.1 When the installation of a piece or pieces of equipment has been completed, the Contractor shall advise Customer in writing that the reference equipment is ready for Erection Inspection.

31.1 当某一设备或几个设备安装完成后，承包商应以书面方式通知业主相关设备已准备好接受安装检查。

31.2 The Contractor, vendors and Customer shall provide necessary personnel to do the Erection Inspection.

31.2 承包商、供应商和业主应提供必要的人员共同参加安装检查。

47. MODIFICATIONS OF CONTRACT 47. 合同的修改

This Contract, when executed by the Parties hereto, shall constitute the only agreement between the Parties in connection with the Erection Work covered by this Contract, and shall be binding upon them. No modification of this Contract shall be binding upon the Parties hereto and upon either of them unless the said modification shall be in writing and duly executed by the Customer and the Contractor.

本合同一经本合同签约方签署，即应构成由双方签署的关于本合同项下安装工作的唯一协议，并对双方都具有约束力。除非以书面形式做出并经业主和承包商适当签署，对本合同的任何修改均不对本合同签约方及其任意一方具有约束力。

49. INTERPRETATION OF CONTRACT

49. 合同的解释

This Contract shall be interpreted as a whole and the intent of the whole instrument rather than the

interpretation of any special clause shall govern. In the event the parties have different understandings to the provisions of the Contract, the interpretation by the Customer shall prevail.

对本合同进行解释时应将其视为一个整体，通过整个文件的意图而非某一特定条款进行解释。如果各方对合同条款的理解存在分歧，以业主的解释为准。

50. ASSIGNMENT OF CONTRACT

50. 合同的转让

This Contract or any interest therein, financial or otherwise, shall not be assigned by the Contractor without the prior written consent of the Customer. This Contract shall not be deemed asset in bankruptcy of the Contractor.

本合同或其中的任何财务或其它性质的利益，在未经业主书面同意之前，不能由承包商进行转让。本合同不能在承包商破产时被作为其资产的一部分。
